Additional Information About the 2023 Board Slate

The recently released slate for the 2023 Atla Board of Directors contains six names. Some members have reached out to the Board wondering why the slate has fewer names than it has included in the recent past.

In 2016, the Atla Bylaws (accessible in the Members Only section of the My Atla web portal) changed, and Article IV, Section 4.02 (d) states the Nominating Committee is charged to develop a slate of at least two nominations for each of the four directorships to be filled. That slate is delivered to the Board of Directors, and as further stated in the section, “The Board of Directors may modify the Nominating Committee’s slate before delivering the initial slate to the Voting Members.”

This means that the Board of Directors may accept or reject proposed names from the Nominating Committee. They may reject names for various reasons, including based on a candidate’s eligibility to run. At the board meeting in October, the slate developed by the Nominating Committee was discussed, and the Board decided to deliver a slate of six names for the membership.

As described in Article IV, Section 4.02 (e) of the Bylaws and summarized in the recent article “Nomination of Atla Board Candidates by Petition: How It Works,” Voting Members may add candidates to the slate by petition.
